(1) Agreement This web site (the "Service") is an internet based online information and communications service provided by us, BurnTuna (the "Provider" or "We" or "Us" or "Our") which contains information from various content providers/suppliers (the "Supplier"). By accessing opening an account or using the Service, You, the user of this Service ("You") agree to be bound by the terms and conditions of this Agreement. This Agreement governs your use of the Service, including, without limitation, all content such as text, information, images, and audio (the "Content") made available to you through the Service by us and/or the Suppliers. At any time or from time to time, we may modify this Agreement. Any modifications shall take effect immediately upon posting the modified Agreement. Your continued access or use of the Service shall be regarded as your acceptance of the modifications and you shall be deemed to have reviewed the Agreement each time you access or use the Service. (2) License We hereby grant You the right to view and use this Service subject to the terms and conditions of this Agreement. You may download and/or print a copy of information provided in this Service for Your personal use only. Permission to reprint or electronically reproduce any document or graphic in whole or in part for any other purpose is expressly prohibited, unless prior written consent is obtained from the respective copyright holder(s). (3) Your Account Obligations In consideration of your use of the Service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the account opening form or in filling the said form for your account particulars (the "Account Particulars") and (b) maintain and promptly update the Account Particulars to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we may at our Option and absolute discretion, reject and deny registration, suspend or terminate your account and refuse any and all current and future use of the Service. Account Particulars and any other information about you is subject to our Privacy Policy. Please read our Privacy Policy. You will receive a password and account name when you have completed the Account Particulars. You are responsible for maintaining the confidentiality of the password and account name and are fully responsible for all activities that occur under your password or account name. You agree to immediately notify us of any unauthorized use of your password or account name or any other breach of security. We are not liable for any harm relating to the theft or misuse of your password or account name. At all times, we shall have absolute discretion to deny or refuse registration, or suspend or terminate your account without giving any reason or notice. (4) Restriction None unless otherwise stated. (5) Your Warranty As a condition of Your use of the Service, You warrant to Us that:- (a) You belong to one of the classes of persons mentioned in Clause 4 above. (b) You will use the Service for personal use only and you will not use the Service for any purpose that is unlawful or prohibited by this Agreement. We reserve the right to deny You access to any part of the Service at Our sole discretion; (c) You will not post or transmit any message anonymously or under a false name; (d) You will not post or transmit any message which is libelous, defamatory or which discloses private or personal matters concerning any person. You will not post or transmit any message, data, image or program which is indecent, obscene or pornographic; (e) You will not post or transmit any message, data, image or program that would violate the property rights of others, including unauthorized copyrighted text, images or programs, trade secrets or other confidential proprietary information, and trademarks or service marks; (f) You will not post or transmit any file which contains viruses, worms, Trojan horses or any other contaminating or destructive features; and (g) You will not reproduce copy, modify, publish, augment, add to sell, resell, upload, distribute or exploit or use for any commercial purposes any portion of the Service or its contents or cause us or the suppliers to suffer any commercial harm or use any portion of the Service or its contents anyway that will compete against our interest or the interest of the Suppliers in anyway and acknowledge that the contents of the Service is protected by copyrights, trademarks and other intellectual property rights. (6) Disclaimers You expressly agree that use of the Service is at your sole risk. Neither we, nor our affiliates, nor any of our Officers, Directors, or Employees, Agents, The Suppliers, Sponsors ("Sponsors"), Licensors ("Licensors"), or the like (Collectively, "Associates"), warrant that the Service will be uninterrupted or error-free; nor do we/they make any warranty as to the results that may be obtained from the use of the Service, or as to the accuracy, reliability, or currency of any information, content, service, or merchandise provided through the Service. The Service is provided on an "AS IS WITH ALL FAULTS" "AS AVAILABLE" basis and we specifically disclaim warranties of any kind, either expressed or implied, including but not limited to warranties of title or implied warranties of merchantability or fitness for a particular purpose or non infringement. No oral advice or written information given by us or our Associates, shall create a warranty. We also make no representations or warranties that your access to and use of the Service is free of viruses, unauthorized code, or other harmful components, or is secure. You are responsible for taking all precautions you believe necessary or advisable to protect you against any claim, damage, loss or hazard that may arise by virtue of your use of the Service. All information contained on the Site, including information relating to products is for informational purposes only. (7) Advertisements and Links The Service contains links to the Suppliers and third parties and advertisements provided for Your convenience only. We do not control such web sites and We are not responsible for the content and performance of these sites or for Your transactions with them (in any way whatsoever). Our inclusion of links to such web sites does not imply any endorsement of the material on such web sites. This Service does not in any way operate, control or endorse any information, products or services provided by the Suppliers and third parties. We encourage discretion when browsing the Internet using our or anyone else's service. Because some sites employ automated search results or otherwise link you to sites containing information that may be deemed inappropriate or offensive, we cannot be held responsible for the accuracy, copyright compliance, legality, or decency of material contained in those sites, and you hereby irrevocably waive any claim against us with respect to such sites. (8) Exclusion of Damages Under no circumstances whatsoever will we be responsible or liable to you or any other entity for any direct, compensatory, indirect, incidental, consequential (including lost profits and lost business opportunities), special, exemplary, or punitive damages that result from or relate in any manner whatsoever to (1) your use of the Service, or reliance on the content, or (2) errors, inaccuracies, omissions, defects, security breaches, or any other failure to perform by us or the Suppliers. The foregoing exclusion shall apply regardless of whether we have been advised on the possibility of such damages. (9) Limitation of Liability You acknowledge that the Service is provided to you on condition of your acceptance of this limitation clause. (10) Indemnity You agree to indemnify, defend and hold us harmless (includes our officers, directors, employees, agents, suppliers, sponsors and associates) from and against all liabilities, expenses, damages and costs, including reasonable Advocates or Attorney's fees, resulting from arising from incurred as a result of your breach of this Agreement, your use of the Service or use of the Service through your account by any person or violation of any rights of another (including infringing worldwide intellectual property rights or acting negligently or wrongfully) by you or by the use of your account. (11) Our Rights We may elect to electronically monitor areas of the Service and may disclose any Content, records, or electronic communication of any kind (a) to satisfy any law, regulation, or government request; (b) if such disclosure is necessary or appropriate to operate the Service, or (c) to protect our rights or property or the rights of the users, Suppliers, Sponsors, Providers, Licensors, or Merchants. We are not responsible for screening, policing, editing or monitoring such Content. If notified of allegedly infringing, defamatory, damaging, illegal, or offensive Content, we may (but not obligated to) investigate the allegation and determine in our sole discretion whether to remove or request the removal of such Content from the site. (12) Intellectual Property Ownership You agree that we own all worldwide rights, titles and interests in and to the Service. All the contents are copyrighted as a collective work. You may create a bookmark in your browser to the home page of the Service. You are not permitted to create a link (electronic or otherwise) to the Service without our prior written approval. All rights not expressly granted in this Agreement are reserved to us. No other rights or licenses, whether express, implied, arising by estoppel, or otherwise are conveyed or intended by this Agreement. (13) Termination These terms are effective until terminated by either party. If you no longer agree to be bound by the Terms and Conditions, you must cease your use of the Service. We reserve the right to terminate, suspend or deny, in our sole discretion, your access to all or any portion of the Service with or without notice. You agree that any termination of your access to the Service may be effected without prior notice, and acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and bar any further access to such files or the Service. Further, you agree that we shall not be liable to you or any third-party for any losses in anyway as a result of or incidental to the termination or suspension of your access to the Service. (14) Applicable Law We make no representation that the Content in the site is appropriate or available for use in other locations, and access to them from territories where their content is illegal is prohibited. Those who choose to access the Service from other locations do so on their own initiative and are responsible for compliance with applicable local laws. Any claim relating to the Service, the services provided through the Service or the Content shall be governed by and construed in all respects in accordance with the laws of the Republic of Singapore and you hereby agree to submit to the jurisdiction of the Courts and to mediation in the of Republic of Singapore.
